Terms of Service

1. Agreement to Terms

By accessing or using any service offered by DAAT Studio ("Company", "we", "our", "us") — including our website at daatservices.in, digital marketing, web development, video/photo editing, SEO, education programmes, and proprietary SaaS products — you agree to be bound by these Terms of Service. If you do not agree, you must discontinue use immediately.

2. Services & Engagement

• All service engagements are governed by a signed Statement of Work (SOW) or Service Agreement agreed upon before project commencement.
• The scope of work, timelines, deliverables, and pricing are defined in the SOW. Any changes to scope require a written Change Order approved by both parties.
• DAAT Studio reserves the right to decline or discontinue any project at our discretion, with a pro-rated refund for unused prepaid amounts.
• Retainer-based services renew monthly unless cancelled with 30 days' written notice.

3. Payment Terms

• All prices are quoted in Indian Rupees (INR) and are exclusive of GST (18%) unless stated otherwise.
• A non-refundable advance payment (typically 50%) is required before project kick-off.
• Milestone payments are due within 7 business days of invoice issuance.
• Late payments beyond 14 days attract a 2% monthly interest charge.
• Deliverables, source files, and credentials are withheld until full payment is received.
• Payments are processed via Razorpay. Bank transfer (NEFT/RTGS) is available for projects above ₹50,000.

4. Client Responsibilities

To ensure timely delivery, clients must:

• Provide all required content, assets, credentials, and approvals within agreed timelines.
• Designate a primary point of contact with decision-making authority.
• Provide timely feedback — delays in client feedback may result in revised delivery timelines.
• Ensure that all content, trademarks, and materials provided to DAAT Studio are legally owned or licensed by the client.

5. Intellectual Property

• Upon receipt of full and final payment, all custom deliverables (code, designs, videos, graphics) created for the client become the client's intellectual property.
• DAAT Studio retains the right to use completed projects in our portfolio and marketing materials unless the client expressly requests confidentiality in writing.
• All proprietary tools, frameworks, internal libraries, and SaaS products built by DAAT Studio remain our sole intellectual property and are not transferred to the client unless explicitly agreed upon.
• Third-party assets (stock photos, fonts, plugins, libraries) used in deliverables are subject to their respective licences, which the client is responsible for maintaining.

6. Confidentiality

Both parties agree to keep confidential any proprietary business information, technical data, pricing, and trade secrets shared during the engagement. This obligation survives project completion for a period of 3 years.

7. Warranties & Disclaimers

• DAAT Studio warrants that all services will be performed with professional skill and care.
• We do not guarantee specific business outcomes (e.g., revenue, search ranking positions, social media growth) as these depend on market conditions and third-party algorithms beyond our control.
• All services are provided "as is" to the extent permitted by Indian law.
• Post-delivery bug fixes for web development are provided free of charge for 30 days. Issues arising from client modifications are excluded.

8. Limitation of Liability

To the maximum extent permitted by law, DAAT Studio's total liability for any claim arising out of or related to our services shall not exceed the total fees paid by the client for the specific service giving rise to the claim in the 3 months preceding the claim. We shall not be liable for indirect, incidental, consequential, or punitive damages.

9. Prohibited Use

You may not use DAAT Studio's services for:

• Any unlawful purpose or in violation of any Indian or international law.
• Creating content that is defamatory, obscene, hateful, or infringes third-party rights.
• Competing directly with DAAT Studio by reselling our services without written permission.
• Generating spam or unsolicited mass communications.

10. Termination

Either party may terminate an engagement by providing 30 days' written notice. In the event of termination, the client shall pay for all work completed up to the termination date. Non-refundable advance payments are forfeited upon client-initiated termination unless otherwise agreed in the SOW.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unsuccessful, disputes shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the venue being New Delhi, India.
